By signing this agreement, you are bound by its restrictions and expectations.
1. CONFLICT OF INTEREST
Employee will not directly or indirectly engage in any business with any and all competitors including but not limited to: Wild West Paintball & Airsoft, Tempe Paintball & Airsoft, SplatTactics, American Paintball Coliseum, Command Post, Splatter Ranch, AXC Tactical, Mesa Paintball, Disruptive, CowTown, FighterTown and Westworld Paintball.
Directly or indirectly engaging in any competitive business includes but is not limited to: (i) engaging in a business as owner, partner, agent, referee, technician, concessions, consultant or volunteer, (ii) becoming an employee of any third party, (iii) soliciting customers for their own benefit, (iv) using company property in any way to conduct business for personal gain and/or (v) use and/or provide company property or software and/or login credentials to assist a third party without prior owner approval in writing.
Employee agrees that they will not directly or indirectly solicit, agree to perform or perform services of any type that VIPAirsoft (“Company”) can render (“Services”) for any person or entity who paid or engaged VIPAirsoft for Services, who received the benefit of Services, or with whom the employee had an substantial dealing while employed by VIPAirsoft. This restriction also applied to assisting any employer or other third party.
Employee shall not take any actions to assist any other entity in recruiting any other employee who works for or is affiliated with VIPAirsoft or providing Company knowledge. This includes but is not limited to: (i) identifying special knowledge concerning VIPAirsoft’s processes, methods or confidential affairs; and (ii) commenting to the successor employer or its agents about the quantity of work, quality of work, special knowledge or characteristics of any person who is still employed by VIPAirsoft. Employee also agrees that they will not provide such information to a prospective employee during interviews or any preceding possible employment term.
3. PERSONAL SALES
Employee will not at any time or in any manner, either directly or indirectly, promote the sale and/or trade of personal equipment and/or gear of any kind inside or on the grounds surrounding the facility, while on shift or under the name of the Company. This includes the promotion and/or direct sale of equipment belonging to a friend, family member, colleague and/or competitor. Any sale of personal equipment outside of these parameters cannot mention your affiliation with VIPAirsoft, make any promises or guarantees in regards to warranty, repair or return of equipment under the Company liability and any and all sales and/or trades will not be permitted on or near the grounds of the facility, during the employee’s shift nor are they to be discussed with the seller/buyer within any of these restrictions. The manner and restrictions of these sales are such that a reasonable person would understand it to be prohibited. Should an employee become aware or a violation to this agreement by a colleague, they are expected to immediately remind the colleague of the violation and alert a manager. Employees who are found to have been aware of the violation and allowed it to continue, risks the same disciplinary action as the offender.
Employee will not at any time or in any manner, either directly or indirectly, use for personal benefit, divulge, disclose or communicate in any manner any information that is proprietary to VIPAirsoft or the confidential information of our customers, clients and partnering companies. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential. Staff will protect such information and treat it as strictly confidential.
The parties have attempted to limited non-compete provision that it applies only to the extent necessary to protect legitimate business and property interests. Should it be discovered that at any time and in any manner, the employee has violated the terms of this agreement, VIPAirsoft holds the right to immediately terminate the employee.
